Terms and Conditions for Outcomes Exchange
These terms and conditions outline the rules and regulations for the use of our climate outcomes exchange platform. By accessing or using our platform, you accept and agree to be bound by these terms and conditions.
The Outcomes eXchange (OX) is a platform to catalyze climate and environment (C&E) action by enabling funding of measurable and verifiable climate results.
OX is a discovery and matching platform to connect interested funders or buyers with climate outcomes producers or sellers to increase climate capital flows and the funding of climate results, or Outcomes, that are scientifically measurable and observable.
Outcomes are purchased or funded through grants, sales contracts or service contracts, when two consenting parties match and agree on terms. Each contract clearly defines activities that have been or will be performed, one or several resulting climate outcomes, measurement mechanisms for each outcome, validation methodology and pricing.
A proprietary Outcomes Taxonomy has been developed with feedback from sectoral experts and practitioners to guide appropriate measurement and validation.
The Outcomes Exchange, while named as such, functions operationally and in intent as a platform. Outcomes exchanged on the platform do not constitute securities and would not be onward tradable.
Definitions:
a. “Exchange” means our climate outcomes exchange platform.
b. “User” means any individual or entity that accesses or uses the Exchange.

Use of the Outcomes Exchange:
a. Users may use the Outcomes Exchange to buy and sell verified climate outcomes, such as carbon offsets and renewable energy certificates.
b. Users must comply with all applicable laws and regulations when using the Outcomes Exchange.
c. Users must not use the Outcomes Exchange for any illegal or fraudulent activities.
d. Users must not use the Outcomes Exchange to harass, abuse, or harm any other User.
Fees:
a. Users may be charged fees for using the Outcomes Exchange.
b. Fees will be clearly disclosed before any transaction is completed.
c. Users are responsible for paying all fees associated with their use of the Outcomes Exchange.
Intellectual Property:
a. All content on the Outcomes Exchange, including text, graphics, logos, and images, is the property of the Outcomes Exchange or its licensors and is protected by copyright laws.
b. Users may not copy, modify, distribute, or reproduce any content on the Outcomes Exchange without the express written permission of the Outcomes Exchange.
Disclaimer:
a. The Outcomes Exchange does not guarantee the accuracy or completeness of any information on the Outcomes Exchange.b. The Outcomes Exchange is not responsible for any losses or damages incurred as a result of using the Outcomes Exchange.
Limitation of Liability:
a. The Outcomes Exchange shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of the Outcomes Exchange.
b. The Outcomes Exchange’s liability for any claims arising out of or in connection with the use of the Outcomes Exchange shall be limited to the amount of fees paid by the User to the Outcomes Exchange.
Termination:
a. The Outcomes Exchange may terminate a User’s access to the Outcomes Exchange at any time for any reason.
b. Users may terminate their use of the Outcomes Exchange at any time.
Indemnification:
a. Users agree to indemnify and hold the Outcomes Exchange harmless from any claims, damages, or expenses arising out of their use of the Outcomes Exchange.b. This indemnification obligation shall survive the termination of these terms and conditions.
Governing Law:
a. These terms and conditions shall be governed by and construed in accordance with the laws of India and you submit to the non-exclusive jurisdiction of the courts in Bengaluru, Karnataka, India for the resolution of any disputes.
Changes to These Terms:
a. The Outcomes Exchange may update these terms and conditions at any time.
b. Users are advised to review these terms and conditions periodically to stay informed about any changes.
